Terms of Service

1. Acceptance of these terms

By purchasing a Qadbak Premium license, using the Qadbak panel software, or accessing qadbak.com or license.omiiba.dev, you agree to these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

If you do not agree, do not purchase a license and do not use the Service.

2. Description of the Service

"Qadbak" (the "Service") is a hosting control panel published by Omiiba (the "Provider"). It consists of:

• An open-source core panel (Apache 2.0-licensed) that you install and run on your own server.
• Optional Premium modules unlocked by a paid license key issued via license.omiiba.dev.
• The websites at qadbak.com and license.omiiba.dev.

The Provider does not host your websites, mailboxes, or any other data. You provide your own infrastructure (VPS, DNS, storage). The Service is software-only.

3. License grant & restrictions

Subject to your payment of the applicable fees and your compliance with these Terms, the Provider grants you a non-exclusive, non-transferable, non-sublicensable license to use the Premium modules on the number of VPS instances permitted by your plan, for the duration of your plan.

You may not:

• Share, resell, sublicense, distribute, or publish your license key.
• Use a single key on more than the allowed number of concurrent VPS instances.
• Bypass, disable, or interfere with the license activation or heartbeat mechanism.
• Decompile or reverse-engineer the Premium modules beyond what is permitted by mandatory law (e.g. Art. 6 Software Directive 2009/24/EC).
• Use the Service to violate any law, infringe third-party rights, or cause harm.

The open-source core panel is licensed separately under the Apache 2.0 License — that license continues to apply to its code regardless of these Terms.

4. One VPS per license

Unless your plan explicitly states otherwise, each license is valid for one (1) concurrent VPS activation. Moving to a new VPS is supported and free: remove the old activation in your panel's License page (or via the license-server admin) before activating on the new server.

If you legitimately need more concurrent activations (e.g. blue-green deploys, staging environment), contact [email protected] and we will increase your limit at no charge for reasonable use.

5. Purchase, pricing & renewal

All prices are listed in EUR on qadbak.com/#pricing and on the checkout page. VAT, if applicable, is calculated by Stripe at checkout based on your billing country.

Time-limited plans (1 month, 3 months, 6 months, 1 year) are one-time payments and do not auto-renew. You will receive an expiry reminder email; to continue using Premium, simply purchase another plan.

Lifetime plans entitle you to use the Premium modules indefinitely on a single VPS at a time. "Lifetime" means the lifetime of the Qadbak Premium product, which we commit to maintain for at least five (5) years from your purchase date; in the unlikely event the product is discontinued earlier, lifetime license holders will be notified and offered a reasonable migration path or pro-rata refund.

6. Refunds

Refund terms are set out in our Refund Policy, which forms part of these Terms.

7. Acceptable use

You agree not to use the Service to:

• Host or distribute content that is illegal in your jurisdiction or in the Netherlands (e.g. CSAM, malware, fraud kits).
• Operate phishing, spam, or unsolicited bulk email infrastructure.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Provider's infrastructure or to other users.
• Misrepresent your identity in support contact or in license registration data.

8. Account & security

You are responsible for keeping your license key, panel admin credentials, and any API tokens secret. We will treat anyone holding a valid key/token as authorised to act on your behalf, except where you have reported a compromise.

9. Suspension & termination

We may suspend or revoke a license at any time if we reasonably believe it is being used in violation of these Terms, in particular Sections 3, 4 and 7. Where the breach is curable, we will give you 14 days' notice and the chance to fix it. Severe abuse (e.g. shared key distributed publicly) may result in immediate revocation without refund.

You may stop using the Service at any time. Stopping use does not entitle you to a refund except as provided in the Refund Policy.

10. Warranty disclaimer

Except for the mandatory warranties that consumers have under Dutch and EU law, the Service is provided "as is" and "as available". To the maximum extent permitted by law, the Provider disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

You acknowledge that the Service is software that you install on infrastructure outside our control, and that we cannot guarantee uninterrupted operation of your VPS, your network, or third-party services (Stripe, Let's Encrypt, your registrar, etc.).

11. Limitation of liability

To the maximum extent permitted by law, the Provider's total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you have paid for the license in the 12 months preceding the event giving rise to the claim, or €100, whichever is greater.

The Provider is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, business, or goodwill, even if advised of the possibility.

Nothing in these Terms limits liability for (i) intent or gross negligence; (ii) death or bodily injury; (iii) fraud; or (iv) anything else that cannot be limited under Dutch or EU consumer law.

12. Indemnification

You agree to indemnify and hold the Provider harmless against any third-party claim arising from your use of the Service in violation of these Terms or in violation of any law, including reasonable legal costs.

13. Changes to these terms

We may update these Terms from time to time. We will post the new version on this page with a new "last updated" date, and notify active license holders by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance.

If you do not accept a material change, you may stop using the Service and request a pro-rata refund of any unused prepaid period (excluding lifetime plans).

14. Governing law & jurisdiction

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Any dispute will be brought before the competent court in the Netherlands, unless mandatory consumer law in your country of residence requires otherwise. Consumers may also use the EU Online Dispute Resolution platform.
